Terms and Conditions
In Barcelona, between Inner Flow Studio S.L., VAT ID B13649181, located at Calle Bailen 194, Bajos, Puerta 2, 08037, Barcelona (hereinafter "innerFlow" or the "Provider") on one part; and on the other part, the client identified at the bottom of this contract (hereinafter the "Client"), this service contract is entered into according to the following terms and conditions (hereinafter the "Contract"):
1. Purpose of innerFlow
The purpose of innerFlow is to provide services, activities, sports, and wellness plans to its clients, which will depend on each individual's aspirations and personal needs, within innerFlow's facilities.
Among the services included in the membership, the following are distinguished:
(i) Access to innerFlow facilities according to the "innerFlow Full" membership plan, including access to the gym, spa, immersive cycling, exercise machines, and changing rooms, among others ("Access Right").
(ii) The right to participate in pedagogical group sports classes guided by sports specialists and highly qualified personal trainers in each of the areas offered by innerFlow ("Guided Classes"). Guided Classes do not include individual classes provided by personal trainers, health services, and other promotional packages, which are governed by their own terms and conditions, and subsidiarily by the rules of this Contract.
2. innerFlow Usage Rules
The Client will have the right to access innerFlow facilities according to the contracted membership plan to use the Services described in the preceding clause, within its current operating hours, which may be freely modified by innerFlow. The Usage Rules of innerFlow (hereinafter the "Usage Rules") are an integral part of this Contract, a copy of which the Client receives herewith. The Usage Rules may be modified by innerFlow by notifying the Client via email or by posting them visibly within the Sports Club or on the website. The Client must at all times obey and act in accordance with the Usage Rules, and any breach thereof entitles innerFlow to terminate this Contract immediately.
3. Specific Rules for Each Area
Specific rules are established for the different areas of innerFlow (The Shala, The Gym, The Bubble, The Rooftop, Backyard Box, Flow Cycle, Outdoor, Functional Spa, dressing rooms, massage rooms, etc.), all of which must be permanently respected, as well as the Usage Rules by all innerFlow clients.
4. Client's Responsibility and Prior Obligations
The Client entering into this Contract declares to be aware of the risks associated with the sports activities offered by innerFlow and will voluntarily practice these activities at their sole risk and responsibility, stating hereby that they are in suitable health conditions compatible with performing physical exercises and activities at innerFlow. In this regard, the Client assumes any responsibility in case they are not in optimal conditions for physical activity, releasing innerFlow from any liability related to any incident related to their health condition.
5. Client Injuries
Under no circumstances will innerFlow be liable for injuries or conditions of the Client, whether prior or subsequent to commencing activities and/or services offered by innerFlow, or resulting from exercises included or not included in the program designed by the sports professional, improper use of exercise machinery or weights, as well as any misuse of the services offered by innerFlow.
6. Other Client Obligations
The Client agrees not to participate in guided activities or group classes offered by innerFlow if any of the following circumstances occur:
a) Illnesses, including cuts or injuries
b) Fractures
c) Infections
d) Discomfort or any condition that hinders normal functioning
e) Poor personal hygiene that bothers and generates complaints from other clients.
7. innerFlow Rights Reservations Regarding
Facility Use and Client Rights
innerFlow reserves the following rights concerning its clients:
a) The right to set a maximum number of clients to ensure proper use of innerFlow for active clients.
b) The right to accept a maximum number of persons per guided class to ensure an optimal learning experience for all our clients. This is because InnerFlow aims to offer high-quality classes, and we believe that the optimal group size is crucial for technicians to provide individualized attention and ensure that all participants receive effective teaching.
c) The right to unilaterally modify operating hours, modify and correct prices, add, modify, and/or programs, classes, or activities offered at any time.
d) The right to terminate this Contract if the Client fails to comply with any of the obligations imposed by this Contract and/or the innerFlow Usage Rules, without any entitlement to refund. The repeated disobedience of instructors' instructions during classes, special activities, or personal training will constitute a particular breach of this Contract.
8. Enrollment Fees and Memberships
innerFlow shall have the right to charge an enrollment fee and a monthly or membership fee, the amount and payment conditions of which are detailed in the Contract.
The Client entering into this Contract must pay the respective enrollment fee and the monthly fees due at the time of enrollment. At the time of enrollment, only debit and credit cards will be accepted as payment methods. Once enrolled, the Client will become an active member.
The Client will enter into an automatic payment agreement for the monthly fee with the recurring payment system using a credit or debit card. The Client will pay or commit to pay a periodic monthly or annual fee during the term of this Contract. The charge will be made monthly at the beginning of each calendar month for monthly fees, with or without a commitment to stay.
innerFlow reserves the right to modify the amounts, periodic payment fees, and corresponding membership plan products during the term of the Contract. innerFlow will communicate such decision at least one week in advance, through a general notice posted in a prominent place within innerFlow's facilities or on innerFlow's website. Current prices are detailed on the website www.innerflow.es
Additionally, innerFlow may communicate such decision via email to the Client.
The periodic fees or memberships do not include health services, education services consisting of individual classes provided by personal trainers, beauty treatments, cafeteria services, locker rentals, or other personal consumptions, all of which must be contracted separately and paid for additionally.
9. Non-Transferable Nature of this Contract
This Contract and the rights derived therefrom are personal and non-transferable regarding the Client, so they cannot be assigned by the Client, nor can they be transferred by succession, donation, or death cause. innerFlow may pledge or assign to third parties the right to collect periodic fees.
10. Temporary Client Deactivation
To request a temporary deactivation, the Client must request it from innerFlow, in person or by email, before the 20th of the preceding month. Temporary deactivation of a Client is an exceptional situation and may not exceed 3 months. To qualify for this type of deactivation, the Client must present medical or psychological justification, accrediting their inability to engage in appropriate sports practice. During their temporary deactivation, no charges will apply. Once the temporary deactivation is confirmed, the Client will not be able to access innerFlow facilities until they regain active member status.
11. Temporary Client Suspension
To request a temporary suspension, the Client must request it from innerFlow, in person or by email, before the 20th of the preceding month. The option of temporary suspension is an exclusive right of members with 12 and 3-month permanence fees and may not exceed 2 natural months per year (consecutive or not). During their temporary suspension, the Client will pay a 25€ monthly fee for each suspended month. Once the temporary suspension is confirmed, the Client will not be able to access innerFlow facilities until they notify full reinstatement as an active member.
12. Permanent Client Termination
To request permanent termination, the Client must submit a written request to innerFlow's email address, always before the 20th of the preceding month.
The Client must settle any outstanding debt with the Provider before being able to terminate their membership.
Clients with minimum permanence contracts must pay the remaining monthly installments until the end of their contract before they can terminate. Once these requirements are met, the Client will become a Former Client, terminating this Contract and rendering it ineffective.
13. Client Refund Right
The only reasons entitling the Client to a refund of amounts paid for annual periodic fees proportionally corresponding to the remaining months until the end of the respective annual period, excluding the enrollment fee, are:
a) Client's death, duly certified through the respective death certificate.
b) Client's permanent physical incapacity duly certified through the respective medical certificate.
Death and medical certificates must be submitted by a Client representative to innerFlow's administration within 30 days from the occurrence of the events entitling a refund. Failure to submit the respective certificate within this period will forfeit the right to a refund. In any of these circumstances, the Client or their heirs are entitled to a refund equivalent to the remaining contract value, but only for quarterly, semi-annual, or annual payment plans, excluding the monthly plan, even if any of the circumstances described in a) or b) of the preceding paragraph occur. innerFlow reserves the right to certify any of these circumstances by its own means.
c) Medical situations, duly supported by the required documentation and assessed by innerFlow's administration, justifying a refund or transfer of the contracted plan to a third party.
All refunds will incur a 20% deduction for administrative expenses.
14. Contract Validity
This Contract will be valid from its signing date, provided the Client has paid the enrollment fee and corresponding membership fees, and will have an indefinite duration, without prejudice to the termination causes provided for in this Contract.
The Client acknowledges and accepts that innerFlow's opening is scheduled for June 2024 but may potentially experience delays, waiving any rights, actions, or claims against innerFlow and its related companies if this occurs.
The 100% membership fee will commence on the date of innerFlow's opening.
15. Contract Termination Without Right to Refund
InnerFlow will have the right to terminate this Contract immediately without entitlement to any refund if the Client breaches any obligations arising from this Contract and/or the Usage Rules, particularly but not limited to the following breach events:
a) In case of Client's default or simple delay in paying the periodic fee, or services and consumptions performed within innerFlow. In this case, without prejudice to other rights innerFlow may have, innerFlow may immediately and automatically block the Client's access to innerFlow.
b) Failure by the Client to comply with any obligation contained in innerFlow's Usage Rules.
c) Disturbances, any kind of violence against other clients including verbal with clients or innerFlow staff, and also for damages or defects caused to innerFlow facilities.
d) Client putting the physical or psychological integrity of other clients or innerFlow staff at risk.
e) Client repeatedly disobeying instructors' instructions, whether during class, special activities, or personal training.
f) In the event of force majeure or any other unforeseen event preventing innerFlow from continuing to provide the contracted Services at the club.
Upon the occurrence of any of the aforementioned events, and as soon as innerFlow communicates its decision to terminate the contract, it will terminate automatically, and the Client will immediately lose all rights related to the Client status, without entitlement to any compensation or refund of payments made to innerFlow under this Contract, without prejudice to the Client's right to appeal to competent courts to challenge the Contract termination if it does not conform to the aforementioned causes. Notwithstanding the above, in case the Client defaults or simply delays payment of two consecutive monthly fees, the Client will be automatically terminated. If the Client wishes to regain active Client status, they must submit a new admission request to innerFlow's administration, which will decide without further claim, and if accepted, as a new admission for all purposes under this Contract.
16. Extraordinary Closure of the Sports Club
InnerFlow reserves the right to close its facilities without obligation to recover or compensate for closed days, in the following cases:
a) Mourning.
b) Natural disasters.
c) Fire.
d) Major repairs that must be carried out urgently in innerFlow's building, facilities, or outdoor areas.
e) Decision of authority or Administration (anniversaries and/or internal celebrations).
f) Legal holidays.
17. Loss and Misplacement
innerFlow recommends that clients do not enter innerFlow with personal valuable items, as it is not responsible for their custody.
The Client will be solely responsible at all times for the care of the objects and other belongings they bring into innerFlow's facilities and premises, and innerFlow will be released from any liability arising from the loss, misplacement, destruction, or actions of third parties not dependent on innerFlow resulting in the disappearance or destruction of these objects when they are unnecessary for the development of the sports activities performed therein. Likewise, innerFlow is not responsible for damages and thefts occurring in parking lots, whether for cars, motorcycles, bicycles, or others.
18. Personal Data Treatment
Under current regulations on personal data, the Client is informed that the data provided by them as a result of this pre-contractual/contractual relationship will be processed by innerFlow (Inner Flow Studio S.L.) based on the conclusion and execution of the aforementioned pre-contract/contract for the following purposes: i) subscribing and managing this Contract; ii) registering the Client and creating their user account; iii) performing and/or ensuring the collection of agreed fees according to the Client's subscription plan; iii) providing access to facilities; and finally, iv) providing contracted services. Data processing may also be based on legitimate interest, such as sending satisfaction surveys. Additionally, the Client is informed that some of the contracted services may include treatments requiring their explicit consent beforehand, for example, blood analysis tests. Likewise, explicit and prior consent will be required for sending commercial communications from innerFlow. In any case, for all treatments requiring the Client's consent, these will be previously informed through innerFlow's enabled channels.
The processed personal data may be communicated in the following cases: i) innerFlow's providers participating or collaborating in any of the aforementioned purposes and ii) if determined by a legal obligation. Data will be kept for the periods established by law and, in any case, until the expiration of any actions that may arise. The Client can obtain more information about the processing of their data by contacting the following link: https://innerflow.es/privacy-policy/. If the Client wishes to exercise their rights of access, rectification, erasure, objection, restriction of processing, or data portability, they can contact the following enabled email address: hello@innerflow.es It is also informed that, in case of considering that their rights have been violated, the Client has the right to file a complaint with the competent supervisory authority.
General Terms of Use
– Admission to Inner Flow is permitted only for those over 18 years old.
– Members must vacate the sports areas, i.e., be outside them (fitness room, studios, and spa) half an hour before closing time, and in the case of locker rooms and other Studio areas, five minutes before the general closing time of the facilities. Opening and closing hours will be determined by Inner Flow and may be modified at any time, with prior information on the Website.
– On January 1 and 6, May 1, December 25, and 26, the Studio will remain closed, and on the eves of these days, Inner Flow may modify its hours of operation, with prior notice to Members.
– In the event of force majeure, fortuitous events, or legal provisions, Inner Flow reserves the right to close its facilities, with prior notice to its members. Likewise, in the case of repairs or maintenance, Inner Flow may close, modify, or limit the availability of certain equipment, areas, or activities for a limited period, with prior notice to Clients.
– Access to the facilities is only allowed through the access system that verifies the member's status, located at the main entrance of the Studio, and during the hours allowed by the contracted plan. Inner Flow may block access for Clients who are in arrears or in breach of the sports services provision contract. Every member must identify themselves in the Studio's access system, and if not done so, Inner Flow may block access until this procedure is completed.
– Inner Flow may implement additional paid activities in different areas of the Studio, which must be paid in advance or as defined by Inner Flow. These activities may be maintained or terminated at any time at Inner Flow's discretion, with prior notification to Clients. Inner Flow does not guarantee the continuity of any specific service or its price in any way.
– Inner Flow may terminate, change, modify, or discontinue an activity at any time, including the conditions under which it is practiced or developed, exclude it from the fee price and charge separately for it, modify its schedules, and instructors.
– Clients are prohibited from bringing external personnel into the Studio to give classes or private services, except in cases or places where expressly authorized in writing by Inner Flow. Clients may not teach, advise, or offer any instruction, paid or free, inside the Studio.
– Clients may not engage in any commercial activities inside the Studio, including selling or promoting products or services, distributing pamphlets, flyers, or samples.
– It is mandatory to obey the instructions of Inner Flow staff.
– All Members must behave appropriately and respectfully towards Inner Flow staff and other Clients, according to morals and good manners, avoiding rude expressions, shouting, disparaging remarks, or insults of any kind.
– Damages and/or defects caused by a member to the installation and/or materials of Inner Flow due to misuse will require the member to pay the cost of repair or replacement, without prejudice to other rights of Inner Flow, and Inner Flow may terminate the respective service provision contract immediately due to non-compliance with these rules of use.
– Inner Flow is not responsible for the loss, theft, or damage that Clients' personal effects may suffer in the Studio.
– Inner Flow recommends that clients do not enter the Studio with valuable personal items, as it is not responsible for their custody. The Client will be solely responsible for their personal belongings inside the Studio.
– Lost items recovered by Studio personnel will be registered and kept by authorized personnel, which will be returned only upon proof by the member. These items will be donated to charity after 15 days from being stored. The hours for this purpose will be Monday to Friday, during the Studio's operating hours.
– Animals are not allowed to enter.
– It is prohibited to enter the facility with liquids in non-sealed containers. Please ensure that all containers brought are secure and properly sealed to prevent spills and maintain the cleanliness and safety of the premises.
– Failure to comply with any of the rules in this manual will result in the loss of member status, temporarily or permanently.
– Guests at Inner Flow have the same obligations as members and have to respect and adhere to the Studio's rules of use. The Member who invites a third party will also be responsible for the same.
– Members are obliged to respect the privacy of other Members and employees, or persons providing services to Inner Flow, and therefore, taking photographs, recording, conducting interviews, or similar activities inside the Studio is prohibited. Non-compliance with this rule will be considered especially serious and will allow Inner Flow to terminate the respective service provision contract immediately.
– Notwithstanding the specific rules for certain activities and spaces, nudity and walking with an uncovered torso are prohibited except in the
Changing Room area.
– Members must take care of the elements, machines, and installations of the Studio, use them as instructed, and not take any of them, as well as towels, or any item that is not their property and is inside the Studio.
General Rules for All Areas
– All the Areas must be used by Members during the class hours established by the calendar, and under the supervision of an instructor.
– Classes have a reservation system through the App to ensure good coexistence among Clients. It is mandatory to respect this system, as well as the instructor's instructions.
– It is obligatory to respect the schedule of each class. Members may not enter classes once five minutes have elapsed since their start.
– It is mandatory to respect the maximum capacity of each Studio.
– Schedules may be modified according to seasons and class occupancy.
– Entering with an uncovered torso, without clothing nor sports shoes is not allowed.
– The space of other attendees must be respected.
– With each visit to the Studio, members will have access to 2 towles: one small towel for use during training, and one large towel for use after showers and in the spa. To support our commitment to environmental sustainability, we kindly request that members refrain from taking additional towels beyond these allocations.
– The use of a small individual towel to dry personal sweat from the machine or others is mandatory.
– It is the responsibility of Clients to pick up and organize the material used in the classes that require it.
Flow Cycle
– It is mandatory to bring liquids for hydration to classes, and a small towel to wipe personal sweat. The activity instructor may reject the participation of a Client who does not meet these requirements.
– Always follow the instructor's instructions and notify when it is the first time in a class.
– The use of specific cycling footwear (shoes with automatic cleats) is restricted to the interior of the Flow Cycle, with a specific designated area to leave sports shoes during the class.
– Walking with cycling shoes outside the Flow Cycle is not allowed.
The Gym
– The Gym (or Indoor Fitness Area) is not supervised by Inner Flow staff. If it is, the function of the room instructors is to advise, correct, and resolve clients' doubts.
– All Clients must follow the instructions provided in the initial assessment session given by the respective instructor, and if they do not, they will be responsible for any consequences that may arise.
– It is always necessary to place a towel between the member's body and the machine or mat they use. In case of leaving implements with sweat, these must be cleaned by the Client with disposable towels and hand sanitizer, both available in the area.
– Clients must pick up the material, unload the bars and machines once they have finished their exercises, and leave the items in place for other Clients to use.
– If a program is not available, a training session can be requested, the corresponding amount paid, and a program received.
Changing Rooms
– Always store personal belongings in the lockers provided, whether for sporadic or rental use, and it is prohibited to leave them on benches or lockers unlocked.
– Make good use of the bracelets enabled for opening/closing lockers.
– Ensure that the locker is always properly closed and remember its number.
– Lockers for sporadic use must be emptied at the end of each day, as they are checked every night. In case of finding belongings, these will be stored and registered by center staff.
– It is the responsibility of each Client to remove their towels and place them in the designated areas once used. Keeping the locker rooms tidy is everyone's responsibility.
– Personal lockers are small spaces, intended exclusively for those who practice an activity in the Studio, to store sports clothing and personal hygiene items, such as creams, shampoo, soap, and toothbrush.
– Members may not store in lockers: third-party objects, valuable items, chemicals, food, hazardous items, perishable items, plants, seeds, herbs, medicines, smelly items, money, jewelry, watches, works of art, animals, insects, biological substances, computers, electronic items, and no object or property, other than what is expressly permitted according to the above.
– Inner Flow recommends the exclusive use of conventional sports clothing for the sports laundry service. Inner Flow is not responsible for possible damage to sportswear.
– Lockers are in a locker room that cannot be monitored by Inner Flow, which therefore assumes no obligation to custody or care of the objects inside. Consequently, the member agrees that Inner Flow will have no responsibility in case of damage or loss of the items and goods stored by the member in a locker, whether resulting from theft, robbery, theft, leakage, fire, humidity, heat, breakage, earthquakes, or similar events.
– Members may not open other Members' lockers under the pretext of having forgotten where they stored their things. The opening of lockers in these cases will be done through a procedure established by Inner Flow, with an act of them. Members already accept that, because of these procedures, Inner Flow will open their lockers.
Functional Spa Area
– Hygiene and silence are essential rules of use and respect towards other Clients in this area. Special attention is requested to comply with these rules, as this is a very sensitive area regarding the vital space of other members.
– These Rules of Use are mandatory for all Clients using this area, and their breach also constitutes a breach of the Sports Services Provision Contract. Inner Flow staff is empowered to kindly enforce these rules of use, and we request the same respect in the treatment of clients.
– To comply with hygiene rules, it is necessary to strictly adhere to the following rules of use:
o The use of swimwear and non-slip sandals is mandatory. Also, long hair must be tied up during the whole time one spends inside the Spa area.
o The use of sports clothing is prohibited.
o It is mandatory to shower before each use to remove body sweat.
o It is prohibited to introduce and use creams, soaps, or shampoos in this area.
o Shaving and introducing sharp objects into this area are prohibited.
o The introduction of glass containers and food is prohibited.
o To comply with silence rules, it is necessary to strictly adhere to the following rules of use:
o The use of mobile phones is prohibited.
o It is mandatory to lower your voice and respect the rest of the members.
– It is recommended not to use saunas and steam baths for more than 10-15 minutes at a time. After this time, the person must exit and regain temperature with a cold shower.
– The use of Spa facilities may pose risks in certain cases, so if you are not hydrating properly, are pregnant, have recently undergone surgery, have a heart or kidney disease, high blood pressure, diabetes, or skin problems, you should consult your doctor beforehand and follow their recommendations.
– Please take care not to damage the facilities, as they are delicate, and any misuse can result in their suspension.
– In case of feeling suffocation, dizziness, or any discomfort, immediately leave and notify Inner Flow staff.
– Benches or relaxation areas cannot be reserved in any way, nor should items be left on them when not in use.
Holistic Therapies
– All services offered by Spa Therapy are additional payments to the periodic fee and must be paid in advance. Spa Therapy does not offer credit to its clients.
– To ensure availability, services must be booked in advance via the App.
– It is recommended to always arrive 10 minutes before the reserved service.
– The maximum waiting time for the person reserving a service will be 10 minutes, after which the service is lost.
– Lost minutes due to the applicant's delay will not be recovered.
– To cancel, notice must be given at least 24 hours in advance; otherwise, the service must be paid for.
– Mobile phones or other valuables should not be brought into the cabins.
– Behavior inside the cabin must be appropriate according to moral standards and good manners.
– Bio-hacking Lab Area
– All services offered by the bio-hacking lab are additional payments to the periodic fee and must be paid in advance.
– Services must be booked in advance.
– It is recommended to always arrive 10 minutes before the reserved service.
– The maximum waiting time for the person reserving a service will be 10 minutes; after this time, the appointment is lost and must still be paid for.
– Lost minutes due to the applicant's delay will not be recovered.
– To cancel, notice must be given at least 24 hours in advance; otherwise, the service must be paid for.
– Mobile phones, jewelry, watches, or other valuables cannot be brought into the cabins.
Bio Lab Area
– All services offered by the Bio Lab have an additional cost to the regular fee and must be paid in advance.
– Services must be booked in advance.
– It is recommended to always arrive 10 minutes before the reserved service.
– The maximum waiting time for a person who reserves a service is 10 minutes; after that time, the appointment is lost, and payment is still required.
– Lost minutes due to the applicant's lateness will not be recovered.
– To cancel, a minimum of 24 hours' notice is required; otherwise, the service must be paid for.
– Cell phones, jewelry, watches, or other valuables are not allowed in the cabins.
Registration Conditions
– Inner Flow does not allow entry to its facilities for persons under 18 years of age.
– By signing the services provision contract, the Member declares acceptance of all the clauses therein and the current rules of use.
– Inner Flow reserves the right to register, depending on the availability of spaces in each of its Plans.
– Inner Flow reserves the right of admission, according to its commercial policies and the Studio's capacity.
FEES AND PAYMENTS
The fees depend on the selected service modality and will be detailed at the time of purchase. All payments must be made by credit or debit card at the time of purchase.
CANCELLATION POLICY
Any session must be canceled at least 24 hours in advance to avoid losing the session credit. Cancellations within 24 hours or no-shows for the scheduled session will result in the loss of the credit without the option for a refund or rescheduling.
MEMBER RESPONSIBILITIES
The member commits to following the instructor’s directions and informing them of any changes in their health condition that may affect their ability to participate in the training.
